You may recall that at the AGM this year members voted to approve "conversion" of the BKSA into a company limited by guarantee. The reason why the BKSA executive, having taken legal advice, recommended this change is set out in the thread in this section. In short, it is to reduce the risk of "joint liability" for debts and obligations of the BKSA.
I am pleased to report that the new BKSA was incorporated today. The name of the company is "British Kitesurfing Association".
A deed of transfer has been executed that will transfer all of the assets of the old BKSA to the new BKSA at midnight, today, Friday 31 July 2009. The old BKSA (the unincorporated association) will now go into runoff.
Persons wishing to join the BKSA from Saturday 1 August will become members of the new BKSA.
Members renewing/rolling over expired memberships will likewise become members of the new BKSA.
Members with current memberships (i.e. mid-term) will not automatically become members of the new BKSA. This will either happen on renewal. Members can also switch earlier by visiting the BKSA website and clicking on a link (expected to go live tomorrow) whereby they agree to resign from the old BKSA and become members of the new BKSA.
We have received confirmations from the 2008 and 2009 insurers to the BKSA that the changeover should not affect those insurances.
Best wishes,
BA
Hon. solicitor to the BKSA
